Terms of Service

1. Agreement to Terms

By accessing or using ProCanvasser™ (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms. If you do not agree, do not use the Service.

2. Description of Service

ProCanvasser is a multi-tenant field operations and contact relationship management platform. The Service includes:

• Contact and CRM management with multi-campaign support
• Territory management and walk list generation with route optimization
• GPS tracking, breadcrumb trails, and field activity monitoring
• Survey collection with on-device voice-to-text transcription
• Team coordination, assignment management, and real-time updates
• Analytics dashboards and performance reporting
• Offline-first mobile access with background sync
• Optional integrations with external CRM systems

The Service is provided on a subscription basis and may be configured for different market segments including political campaigns, door-to-door sales operations, nonprofit outreach, and service industry field operations.

3. Data Ownership

ProCanvasser operates under a three-tier data ownership model:

3.1 Your Data (Organization-Owned)

You own all contact records, survey responses, CRM data, interaction logs, field notes, and other content you create or upload through the Service. We do not claim ownership of your data. We process it solely to provide the Service to you. You may export or delete your data at any time.

3.2 Field-Generated Operational Data

Operational metadata generated through platform use — including GPS breadcrumb trails, route efficiency metrics, session durations, response rates, and completion statistics — is owned by your organization. You grant ProCanvasser a limited, revocable license to use de-identified and aggregated versions of this data (stripped of all personally identifiable information) for platform improvement, performance benchmarking, and research. This license survives account termination only for data that has already been de-identified prior to termination.

3.3 Aggregate Platform Insights

ProCanvasser owns aggregate, anonymized insights derived from platform-wide usage patterns (e.g., industry benchmarks, optimal configuration recommendations). These insights contain no personally identifiable information and cannot identify any individual, contact, or organization.

3.4 Data Cooperative Participation (Future, Opt-In)

ProCanvasser may offer a voluntary data cooperative program ("SovereignData") allowing organizations to pool de-identified field intelligence for mutual benefit. Participation will be governed by a separate Data Cooperative Agreement and will require explicit opt-in. No data will be shared through the cooperative without your affirmative consent. You may withdraw from the cooperative at any time.

4. Acceptable Use

4.1 Permitted Uses

The Service may be used for: political canvassing, voter outreach, and campaign operations; door-to-door sales and lead generation; nonprofit outreach, fundraising, and community organizing; voter registration drives and GOTV (Get Out The Vote) efforts; service industry field operations (scheduling, inspections, customer visits); and other lawful field operations consistent with these Terms.

4.2 Prohibited Uses

You may NOT use the Service for:

• Any illegal activity or violation of applicable law
• Voter intimidation, suppression, or interference with elections
• Harassment, stalking, or threatening individuals
• Spreading disinformation or fraudulent misrepresentation
• Selling, renting, or redistributing contact data or voter data obtained through the Service
• Circumventing security controls, access restrictions, or rate limits
• Impersonating another person, organization, or government entity
• Scraping, crawling, or automated extraction of data from the Service
• Using GPS tracking data to stalk, surveil, or monitor individuals without their knowledge
• Attempting to re-identify de-identified or anonymized data

4.3 Market-Specific Requirements

Political Organizations: You are solely responsible for compliance with all applicable election laws, including FEC regulations, state campaign finance laws, do-not-call requirements, and voter data usage restrictions. You must maintain proper FEC firewalls between different entity types (e.g., 501(c)(4) organizations, independent expenditure committees, and federal campaign committees). ProCanvasser does not provide legal advice regarding election compliance.

Sales Organizations: You are solely responsible for compliance with applicable consumer protection laws, FTC regulations, state door-to-door solicitation ordinances, do-not-knock lists, and cooling-off period requirements.

Service Industry: ProCanvasser provides scheduling, routing, and field management tools only. Any calculations, measurements, or recommendations generated by the Service (including but not limited to chemical calculations, material estimates, or compliance checklists) are informational only and do not substitute for professional judgment, licensure requirements, or regulatory compliance. You assume full responsibility for the safety and quality of services you provide to your customers.

5. Account Registration and Security

Account creation is by invitation only. You must: provide accurate and complete registration information; maintain the security of your credentials and not share login information; immediately notify us of any unauthorized access; and ensure all users within your organization comply with these Terms.

You are responsible for all activity that occurs under your account, including actions taken by users you invite. Organization administrators are responsible for managing user access and permissions.

6. Privacy and Data Protection

Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

You represent and warrant that: you have lawful authority to upload and process all contact data in the Service; you will comply with all applicable privacy and data protection laws; you will honor opt-out requests from contacts and maintain suppression lists; and you will not process sensitive personal data (health, financial, biometric) through the Service beyond what is described in our Privacy Policy.

Enterprise customers requiring additional data processing protections may request a Data Processing Addendum (DPA) by contacting legal@procanvasser.com.

7. Mobile Application

The ProCanvasser mobile application (PWA and native) is subject to the following additional terms:

• GPS Accuracy: GPS accuracy varies based on device hardware, satellite conditions, atmospheric interference, urban canyon effects, and indoor/outdoor environment. We do not guarantee GPS accuracy for any purpose. GPS data should not be relied upon as the sole evidence for employment disputes, legal proceedings, or safety-critical decisions.
• Offline Operation: Data created while offline is stored locally and syncs when connectivity returns. In the event of a sync conflict, server data takes precedence. Users will be notified of any conflicts.
• Background Location: GPS tracking continues in the background during active canvassing sessions (with your permission). You may disable background location through device settings at any time.
• Apple App Store: If downloaded from the Apple App Store, these Terms are between you and ProCanvasser LLC, not Apple Inc. Apple has no obligation to provide maintenance, support, or warranty for the app. Apple is a third-party beneficiary of these Terms.

8. Payment Terms

• Subscriptions are billed in advance on a monthly or annual basis
• All billing is handled through our website — no in-app purchases are available
• Prices may change with 30 days' notice before your next billing cycle
• Fees are non-refundable except as required by applicable law
• Service may be suspended after 7 days past due; terminated after 30 days past due
• You are responsible for all applicable taxes

9. Intellectual Property

ProCanvasser™, the ProCanvasser logo, and all related marks, features, and functionality are owned by ProCanvasser LLC and protected by trademark, copyright, and other intellectual property laws.

You retain all ownership rights to content you create or upload. By using the Service, you grant us a limited, non-exclusive license to process your content solely for the purpose of providing the Service. This license terminates when you delete your content or close your account (subject to retention periods described in our Privacy Policy).

10. Service Availability

We target 99.5% uptime, excluding scheduled maintenance windows. However, we do not guarantee uninterrupted, error-free, or secure operation of the Service. We may modify, suspend, or discontinue features with reasonable notice. Scheduled maintenance will be communicated in advance when practical.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. We expressly disclaim all warranties including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy.

Without limiting the foregoing, we do not warrant:

• GPS accuracy or reliability for any purpose
• Route optimization will produce optimal or safe routes
• Voter data completeness, accuracy, or currency
• External integration availability or data consistency
• Election outcomes, sales results, or business performance
• That the Service will meet your specific requirements
• That calculations, estimates, or recommendations are accurate or complete

ProCanvasser LLC does not endorse any political candidate, party, cause, or organization. Use of the Service does not imply any such endorsement.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROCANVASSER LLC'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

IN NO EVENT SHALL PROCANVASSER LLC BE LIABLE FOR:

• Indirect, incidental, special, consequential, or punitive damages
• Lost profits, revenue, data, or business opportunities
• Election outcomes or political consequences
• GPS inaccuracies or location tracking failures
• Third-party service failures or data breaches at third-party providers
• Damages arising from unauthorized access to your account due to your failure to maintain credential security
• Any injury, property damage, or liability arising from field operations conducted using the Service
• Regulatory fines, penalties, or enforcement actions resulting from your non-compliance with applicable laws

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

13. Indemnification

You agree to indemnify, defend, and hold harmless ProCanvasser LLC, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service or violation of these Terms
• Your violation of any applicable law, regulation, or third-party right
• Content you upload, process, or distribute through the Service
• Your failure to comply with applicable election laws, campaign finance regulations, or FEC requirements
• Your failure to comply with consumer protection, do-not-call, or solicitation laws
• Claims by contacts or data subjects arising from your data processing activities
• Injuries, damages, or liabilities arising from field operations conducted by your users

14. Termination

By You: You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period.

By Us: We may suspend or terminate your account immediately for: material violation of these Terms; illegal activity; non-payment (after 30-day grace period); or abuse of the Service that threatens platform stability or other users.

Effect of Termination: Upon termination, you have 30 days to export your data (unless terminated for illegal activity or Terms violation warranting immediate data removal). After the export period, your data will be permanently deleted within 90 days, subject to legal retention obligations.

15. Dispute Resolution

Informal Resolution: Before filing any formal dispute, you agree to contact us at legal@procanvasser.com and attempt to resolve the dispute informally for at least 30 days.

Binding Arbitration: Any dispute not resolved informally shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. Arbitration shall take place in Maricopa County, Arizona (or remotely by mutual agreement).

Class Action Waiver: You agree that disputes will be resolved on an individual basis only. You waive any right to participate in a class action, collective action, or representative proceeding.

Small Claims Exception: Either party may bring qualifying claims in small claims court in Maricopa County, Arizona.

16. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Arizona, without regard to conflict of law principles.

17. General Provisions

• Entire Agreement: These Terms, together with our Privacy Policy and any applicable DPA, constitute the entire agreement between you and ProCanvasser LLC
• Severability: If any provision is found unenforceable, the remaining provisions remain in full effect
• Waiver: Failure to enforce any provision does not constitute a waiver of that provision
• Assignment: You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets
• Force Majeure: We are not liable for failures caused by events beyond our reasonable control
• Modifications: We may modify these Terms with reasonable notice. Material changes will be communicated through the platform. Continued use after changes take effect constitutes acceptance
